OAK Bespoke (OAK Digital Market Pte Ltd) – Terms and Conditions of Sale

1. Order Acceptance
All orders are offers to purchase goods and are subject to formal acceptance by OAK Bespoke (OAK Digital Market Pte Ltd) (“the Company”). A binding contract is formed only upon the Company issuing a written order confirmation or, if earlier, upon the Company commencing fulfilment of the order.

2. Pricing and Taxes
All prices are quoted in Singapore Dollars (SGD) and are exclusive of Goods and Services Tax (GST) and any other applicable taxes or duties. The Company, being GST-registered, will charge GST on all taxable supplies at the prevailing rate. The GST charged will be in accordance with the time of supply rules as determined by the Inland Revenue Authority of Singapore (IRAS), which may be based on the issuance of an invoice or receipt of payment, whichever is earlier.

3. Deposit & Payment Schedule
A non-refundable deposit, being the greater of S$1,000 or 50% of the order value, is required to initiate all wholesale orders, unless otherwise stipulated in a duly executed addendum to the service agreement. The remaining balance must be settled as outlined in the order confirmation.

4. Payment Terms
Payment of the undisputed amount is due within 7 days of the invoice date, unless otherwise agreed in writing. The Company may suspend all further work and deliveries on any outstanding orders until full payment is received. Late payments shall incur a late payment fee of 10% per month on the overdue amount, or the maximum rate permitted by applicable law, whichever is lower.

5. Delivery
The Company will make reasonable efforts to meet estimated delivery dates provided in quotations or order confirmations. However, any stated delivery dates are approximate only and shall not be considered of the essence. The Company shall not be held liable for any delays, damages, or costs incurred by the Client due to circumstances beyond its reasonable control (“Force Majeure Events”). This includes, but is not limited to, acts of God, war, terrorism, civil unrest, embargoes, strikes, transportation stoppages, pandemics, or delays in the Client providing necessary materials or approvals.

6. Returns and Refunds (Retail Customers)
For retail customers, the Company may, at its sole discretion, consider returns or refunds in accordance with its published Return and Refund Policy. The policy is available on the Company’s website or upon request. Please note that, in Singapore, there is no general legal right to return goods for a refund unless they are defective or the seller has breached the sales contract.

7. Intellectual Property
All designs, logos, concepts, and any other intellectual property created or provided by the Company remain its exclusive property at all times. The Client does not acquire any rights in such intellectual property except for the limited licence to use the final delivered goods.

8. Limitation of Liability
To the maximum extent permitted by the law of Singapore, the Company’s total aggregate liability to the Client, whether in contract, tort (including negligence), or otherwise, shall in no event exceed the total invoice value of the goods giving rise to the liability. The Company shall not, under any circumstances, be liable to the Client for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity.

9. Data Protection
The Company will collect, use, and disclose the Client’s personal data in accordance with the provisions of the Singapore Personal Data Protection Act (PDPA) 2012.

10. Design Terms

  • Client Materials: The Client is responsible for providing all required materials, including a logo in a suitable vector format (e.g., AI, EPS, PDF) and a specific colour palette (e.g., Pantone codes, CMYK values), in a timely manner.

  • Artwork & Revisions: Initial design artwork will be provided within 1-2 working days upon receipt of all necessary client materials. Turnaround time for subsequent revisions may vary based on complexity. The package includes two (2) complimentary revisions. Any additional revisions will be charged at S$30 per instance.

  • Approval: Formal email approval of the final artwork from the Client is mandatory before any production commences. The Company is not liable for errors in the final product resulting from Client-approved artwork.

11. Governing Law and Jurisdiction
These Terms and Conditions, and any non-contractual obligations arising from them, shall be governed by and construed in accordance with the laws of the Republic of Singapore. The parties irrevocably submit to the exclusive jurisdiction of the courts of Singapore to settle any dispute or claim arising out of or in connection with these Terms.

12. Entire Agreement
This document, together with the relevant invoice and order confirmation, constitutes the entire agreement between the parties concerning the subject matter herein. It supersedes all prior discussions, arrangements, and agreements, whether oral or written.

Return & Refund Policy (For Retail Customers)

1. Policy Basis
Our policy on returns and refunds is a discretionary gesture of goodwill for our retail customers and does not affect your statutory rights. In Singapore, retailers are generally not legally required to accept returns if a customer has simply changed their mind.

2. Eligibility
Refunds or returns may be considered only for retail customers and are subject to the following conditions:

  • The request is made within 14 days of the purchase date.

  • The goods are returned in their original, unused, and saleable condition, with all original packaging and tags.

  • The goods are deemed to be defective or not as described.

3. Process
To initiate a return, you must contact us to request a return authorization. We reserve the right to inspect the returned goods before approving any refund. If approved, refunds will be processed to the original method of payment within 14 days.

4. Non-Refundable Items
The following are non-refundable unless faulty: goods made to your specific specifications or that have been personalised; and deposits for wholesale orders.
